Governance document systems
Governance documents fail quietly. A company adopts a constitution, signs a shareholders agreement, issues shares, and then five years of resolutions, transfers and side letters accumulate in three different inboxes. Nobody is wrong about what was agreed; nobody can find it either.
This engagement establishes the structure: what documents exist, which version governs, where the register lives, and what has to happen when the cap table changes.
What you get
- An inventory of every existing governance document and its execution status
- A single versioned repository with a defined naming and version scheme
- A maintained register mapping holders, instruments and effective dates
- A change checklist covering issues, transfers and resolutions, with owners named by role
- Written operating instructions for the document owner
SNJ Legal does not provide legal advice and does not prepare governance documents for you. Where a document needs to be produced or its effect assessed, that goes to your own external adviser, with the system supplying the current versions and history so that work starts from a known state.
Questions
Asked and answered
- What do you need from us to start?
- A list of where the governance documents currently live, and access to whoever has been keeping the register. The inventory step is the engagement. You do not need to have tidied anything up first, and doing so usually destroys the evidence of what was actually in use.
- What if we cannot find some of the documents?
- That is a normal outcome and it is recorded rather than worked around. The register shows what exists, what is missing and what was reconstructed from other sources, so the gaps are visible to whoever reads it next instead of being quietly filled in.
- Who maintains the register afterwards?
- A role you nominate, working from the written operating instructions handed over at the end. The engagement is designed to be transferable. If it only works while the person who commissioned it is still there, it has failed.
