Post-acquisition document integration
The transaction closes and everybody moves on. What is left is two template libraries, two sets of standard terms, two lease registers, two employment document sets, and no decision about which governs.
This engagement makes those decisions explicit, produces one system, and records what was retired and why, which matters, because the superseded set has to remain findable for the contracts already signed on it.
What you get
- A side-by-side inventory of both businesses' commercial document sets
- A decision record: which set governs each class, and what happens to the other
- One merged library with a version scheme spanning both origins
- A combined register of obligations, premises and critical dates
- A retired archive, clearly marked, so documents already signed remain identifiable
SNJ Legal does not provide legal advice, does not decide which set of terms is commercially preferable and takes no part in the transaction itself. The engagement structures the merge and records the decisions; making them is yours, on advice where it needs to be.
Questions
Asked and answered
- When should this start?
- Immediately after completion, while both sides still have the people who know where things are. It gets substantially harder once the acquired team has turned over.
- What if the two businesses used the same tooling?
- That makes the mechanics easier and changes nothing about the decisions. The fee moves with the number of document classes, not with the tooling.
- Do you decide which terms we keep?
- No. The engagement puts the differences in front of the people who decide, and records what they decided.
