Board and minute book systems

Governance documents are the constitution and the agreements. The minute book is what happens afterwards (the resolutions, the transfers, the appointments) and it is almost always the part that has drifted.

This engagement establishes the structure and the routine, so the minute book stays current between the events that need it rather than being reconstructed the week a buyer asks for it.

What you get

  • A reconstructed index of resolutions, minutes and registers currently held
  • A single minute book structure with a naming and numbering scheme
  • Registers of members, directors, secretaries and any charges, reconciled against filings
  • A change checklist covering issues, transfers, appointments and resignations
  • A meeting pack template and written instructions for maintaining the book
1.2Out of scope

SNJ Legal does not provide legal advice, does not prepare resolutions or minutes and does not lodge anything with a regulator. This engagement builds the structure and the routine; producing the documents that go into it sits with you and your own external adviser.

Questions

Asked and answered

What if the minute book has gaps?
Gaps are recorded rather than filled. A reconstructed index that shows what is missing is far more useful than one that quietly implies completeness.
Do you attend board meetings?
No. The engagement produces the pack template and the instructions; running the meeting is yours.
How does this relate to governance document systems?
That engagement handles the constitutive documents. This one handles everything that happens after them. They are commonly done together and are quoted separately.
