- When should this start?
- Before there is a transaction, if possible. The same documents get assembled either way: the difference is whether it happens calmly over a few months or under deadline while a buyer waits, and the second is visible to the buyer.
- What if sections of the index are empty?
- They stay in the index and say so. An empty labelled section is information a buyer can price; a missing section is a question they will assume the worst about. Disclosure consistently costs less than discovery.
- Do you deal with the other side's advisers?
- Only on document logistics: what has been requested, what has gone in, which version is current. Negotiation and anything about what the documents mean stays with the parties and their own external advisers.
